\r\n WHEREAS,\r\n
\r\n Scale-lead has offered its services to the Advertiser through\r\n https://Scale-lead.com website (the, “Program”), and You decided to utilise\r\n the Service,\r\n

\r\n Scale-lead and Advertiser hereby agree as follows:\r\n

\r\n Out of concern for the environment, this Agreement is concluded\r\n exclusively in electronic form and no paper copy will be produced. This\r\n Agreement concluded in electronic form shall be deemed equivalent to a\r\n paper document bearing a handwritten signature and a seal. At the\r\n request of the Party, this Agreement or any additional documents to it,\r\n accounting and other documents signed by electronic document exchange\r\n shall be replaced by a paper document signed by handwritten signature\r\n and sealed within 20 business days from the date from the receipt of the\r\n Party's written request. \r\n 1. DEFINITIONS\r\n
\r\n 1.1. “Ad(s), Advertisement(s)” or “Advertising materials” – means\r\n graphical, interactive, rich media and video, or other online\r\n advertisements, including, without limitation, banners, buttons, towers,\r\n skyscrapers, pop-ups, pop-unders and video advertisements or similar\r\n generated by Advertiser’s web-servers in response to a query from\r\n Scale-lead or created by publisher(s) in the course of the services.\r\n
\r\n 1.2. “Advertiser” – means a party that has decided to enter into this\r\n Agreement and to assign Scale-lead to provide online services in accordance\r\n with the terms and conditions of this Agreement.\r\n
\r\n 1.3. “Advertiser Account” / “Account” – means the Advertiser’s account\r\n at Scale-lead website www.Scale-lead.com for deposit of money and managing of\r\n campaigns.\r\n
\r\n 1.4. “Content” – means all ad content, related technology and tags\r\n provided by Advertiser that are subject to the Services under this\r\n Agreement.\r\n
\r\n 1.5. “Effective Date” – means the date of adoption by Advertiser terms\r\n of this Agreement or in the absence of its signature, the date when the\r\n Advertiser set up an Advertiser Account with Scale-lead.\r\n
\r\n 1.6. “Scale-lead Network” – means Scale-lead’s digital advertising network\r\n available at www.Scale-lead.com, including advertisers and publishers.\r\n
\r\n 1.7. “Scale-lead Network Property” – means any website, application,\r\n content, property or any other media owned, operated, or provided by a\r\n company within the Scale-lead Network upon which Ads are placed.\r\n
\r\n 1.8. “Campaign” – means certain actions set up by an Advertiser to\r\n increase traffic to the Advertiser or its affiliate website, sales\r\n and/or attracting new customers.\r\n
\r\n 2. THE SERVICE\r\n
\r\n 2.1. Scale-lead provides You an opportunity to participate in our Service\r\n and Program by placing its Ads or Ads created by publishers on web pages\r\n of publishers registered in Scale-lead Network or other web pages chosen by\r\n such publishers. Scale-lead will track and report its Services in a manner\r\n and on a schedule as determined by Scale-lead.\r\n
\r\n 2.2. In order to become an Advertiser you must first accurately submit\r\n an application for Scale-lead account at our website and be in compliance\r\n with this Agreement or register yourself as an Advertiser by contacting\r\n Scale-lead directly for acceptance, and not use any aliases or other means\r\n to mask your true identity or contact information. After we review your\r\n application, we will notify of your acceptance or rejection as Scale-lead’s\r\n Advertiser. We may accept or reject your account registration at any\r\n time at our sole discretion for any reason. Scale-lead reserves the right\r\n to add, edit, remove or reclaim any account details (including your\r\n submissions) with or without your consent if deemed appropriate at\r\n Scale-lead sole discretion.\r\n
\r\n 2.3. By filing your account application or registering as an Advertiser\r\n you confirm your understanding and unreserved acceptance of this\r\n Agreement and terms and conditions of Scale-lead, including, but not\r\n limited to, the Privacy Policy published at our website concerning the\r\n Services, and confirm You are a duly authorized signatory, has full\r\n legal capacity and all the necessary authority to bind the individual,\r\n company or other entity, and hereby submitting a legally binding\r\n electronic signature and entering into a legally binding contract.\r\n
\r\n 2.4. Scale-lead has the following Non Acceptable Business rules for\r\n Advertisers:\r\n
- Where there are known or perceived links to terrorist\r\n organizations, military, arms and/or ammunition manufacture or sales;\r\n
- Where there is knowledge or suspicion of money laundering or\r\n terrorist financing;\r\n
- Where it is known or there are reasonable grounds for suspicion\r\n that a criminal offence has taken place;\r\n
- Where the client or any of the clients associated parties are\r\n subject to any sanctions measures;\r\n
- Where the client is undertaking an activity or trade within,\r\n from or into a country where that activity is subject to embargo and/or\r\n trade control restrictions;\r\n
- Producers/publishers of racist/pornographic/pressure group\r\n material or extremist organizations;\r\n
- Regulated entities that do not have the appropriate licensing;\r\n
- Political organizations.\r\n
\r\n 3. GENERAL TERMS\r\n
3.1. Communication between Scale-lead and the Advertiser shall be\r\n made through the Advertiser’s Personal Account in Scale-lead Network, which\r\n is placed at the following link: https://partner.Scale-lead.com.\r\n
\r\n The Advertiser undertakes and is responsible for ensuring compliance\r\n with the information security regime during the provision of services,\r\n including the following:\r\n
- ensure confidentiality of authorization data;\r\n
- use passwords resistant to cracking;\r\n
- not allow access to the Personal Account and the electronic\r\n mailbox of the Advertiser to persons not authorized by the Advertiser;\r\n
- immediately notify Scale-lead in the event of loss or existence of\r\n reasonable suspicions regarding a violation of confidentiality of the\r\n authorization data used by the Advertiser to access its Personal\r\n Account, as well as the authorization data of the Advertiser’s\r\n electronic mailbox.\r\n
3.2. The Advertiser shall provide Scale-lead with advertising\r\n materials necessary to render the services. The Advertiser represents\r\n that it is entitled to use the advertising materials based on copyrights\r\n and licenses held, and that the use of the advertising materials does\r\n not breach any laws, regulations, or rights of third parties. In no case\r\n shall the Advertiser transfer copyrights or licenses to the advertising\r\n materials to Scale-lead.\r\n
3.3. Scale-lead has the right to refuse to accept and place\r\n advertising materials transferred by the Advertiser in case if content\r\n of said materials contradicts to the applicable legislation, Scale-lead\r\n policy or contains any signs of improper advertising or obviously does\r\n not correspond with the generally accepted moral and ethical standards.\r\n Nevertheless, in no case shall Scale-lead be obliged to check advertising\r\n materials or be responsible for any of the above violations.\r\n
3.4. The Advertiser must immediately inform Scale-lead about all\r\n changes connected with previously provided information and advertising\r\n materials.\r\n
3.5. The Parties may also allow third party webmasters and\r\n affiliates to create their own advertising materials necessary to\r\n generate leads. Where advertising materials are created by third party\r\n webmasters and affiliates, the responsibility for these advertising\r\n materials shall rest solely with these creators.\r\n
3.6. Types and formats of advertising materials placed in order\r\n to fulfill the Agreement shall be chosen by Scale-lead or third party\r\n webmasters and affiliates engaged by Scale-lead independently.\r\n
3.7. Each item of advertising materials shall contain a code of\r\n the agreed integration method in order to track traffic generated to the\r\n Advertiser’s web site (web site of a lead performance) and register\r\n leads.\r\n
3.8. The following types of integration may be applied between\r\n Scale-lead and the Advertiser:\r\n
\r\n API integration – a cooperation interface between the systems of Scale-lead\r\n and the Advertiser for lead metering and data exchange;\r\n
\r\n postback URL – a specific link created to enable Scale-lead Network for\r\n registering leads. Additional parameters of this URL enable for\r\n identifying the lead source and other features of the order.\r\n
3.9. Scale-lead will provide the Advertiser with the statistics of\r\n lead performance through the Personal Account of the Advertiser.\r\n
3.10. A period of life duration post click cookie shall be 45\r\n (forty-five) days. If a user makes a lead during indicated period of\r\n time after transfer to the Advertiser’s web site (web site of a lead\r\n performance), that lead should be counted in favor of Scale-lead.\r\n
3.11. The Advertiser must not take any action leading to\r\n malfunction or improper operation of the integration between Scale-lead\r\n Network, published advertising materials and the Advertiser’s web site\r\n (web site of a lead performance).\r\n
3.12. Scale-lead has the right to engage third parties for rendering\r\n services, including distributors of advertising. The Advertiser shall\r\n not without consent of Scale-lead collaborate with above mentioned third\r\n parties on rendering services similar to that hereof for the period of 2\r\n (two) years. If such collaboration is discovered the Advertiser shall\r\n pay a fine to Scale-lead in an amount of the cost of the similar services\r\n provided in a similar period, as if they were accommodated by Scale-lead\r\n itself.\r\n
3.13. The Advertiser is aware and agrees that Scale-lead cannot\r\n guarantee lead performance in the amount required by the Advertiser as\r\n it directly depends on actions of the Internet users. Information about\r\n forecast of lead performance is presented by Scale-lead on basis of\r\n received statistic data. Thereupon the Advertiser understands and\r\n accepts the fact that, as considering objective reasons forecast is\r\n presumptive, Scale-lead at any conditions shall not bear responsibility for\r\n non-fulfillment of forecast of lead performance.\r\n
3.14. Scale-lead has the right to unilaterally suspend rendering the\r\n services including the following cases:\r\n
3.14.1. In case of the absence of correct integration for any\r\n reason;\r\n
3.14.2. In case of a delay in payment by the Advertiser;\r\n
\r\n 3.14.3. In case of reasonable suspicions that advertising materials of\r\n the Advertiser breach any laws, regulations, or rights of third parties.\r\n
3.15. Scale-lead acknowledges and agrees that the Advertiser\r\n reserves the right, at its sole discretion, to set any limitation on the\r\n services, including, by setting a cap, increasing or decreasing the\r\n budget or capping per any given period by providing Scale-lead with 2 (two)\r\n business days prior written notice.\r\n
3.16. Scale-lead reserves the right to discontinue Service and\r\n withhold Advertisers’ remuneration or account balance or fine at any\r\n time and terminate the Agreement without liability to Advertiser in case\r\n of material breach of this Agreement by the Advertiser or its\r\n associates. Parties hereby agree that any form of fraudulent or illegal\r\n activity, or any violation of this Agreement, the applicable laws and\r\n regulations shall be deemed a material breach of this Agreement.\r\n
3.17. Advertiser is solely responsible for all: (i) Contents\r\n generated by or for Advertiser; (ii) properties to which a Content\r\n directs users (including without limitation content on the domain or\r\n landing page reached by clicking on the Content URLs; and/or (iv)\r\n Advertiser’s services. Advertiser accepts and acknowledges the full\r\n responsibility in the event that the Contents in a Campaign would be\r\n deemed invalid or illegal in any applicable jurisdiction.\r\n
3.18. Each Party waives its rights against the other in respect\r\n of warranties and representations (whether written or oral) not\r\n expressly set out or referred to in this Agreement. Nothing in this\r\n clause limits or excludes either Party’s liability for fraud.\r\n
3.19. Hereby You represent and warrant that You have all\r\n necessary rights, permits and licenses to start and manage ad campaigns\r\n and for display Advertisement and operate Your websites and business\r\n activities in the selected jurisdictions. In case of breach of this\r\n obligation, Scale-lead may terminate this Agreement at any time without\r\n prior notice, withhold any remuneration or account balance and claim for\r\n compensation of incurred losses and damages.\r\n
3.20. Advertiser undertakes to ensure that its servers support\r\n the traffic directed to ad campaign through our service. Anyway, Scale-lead\r\n takes no responsibility for all the consequences in case your servers\r\n cannot support the traffic directed to your website.\r\n
3.21. You hereby agree not to use Scale-lead system interface,\r\n available to You in connection with the execution of this Agreement, in\r\n any ways not provided for by this Agreement, including not to distribute\r\n or transfer it to any third party.\r\n
3.22. Hereby You agree not to grant any third parties the\r\n opportunity to place Ads that violate the requirements of the\r\n legislation, as well as ethics and morality rules. You shall bear all\r\n the expenses and losses incurred from Your illegal use of copyrighted\r\n materials (including Ads, trademarks, etc).\r\n
3.23. You warrant not to use automated tools, including robots,\r\n scripts, or spiders, for generation of the inquiries or gather\r\n information from the interface of the Scale-lead Network.\r\n
3.24. Hereby You warrant that You will not use the Scale-lead\r\n Network system interface for any purposes that violate any applicable\r\n laws or rights of any third parties, including its intellectual\r\n property.\r\n
3.25. You agree NOT to modify, adapt, translate, disassemble or\r\n otherwise attempt to derive the source code of any software, used in\r\n Scale-lead Network, Services or Program.\r\n
3.26. Hereby You represent and warrant to provide Scale-lead with\r\n all the documentation or its equivalents, needed for identification of\r\n the parties, ascertainment of the legal fact and fulfilment of its\r\n obligations under this Agreement, within 5 business days from the date\r\n of request. In certain cases, we may withhold all payments until we will\r\n receive relevant documentation from you.\r\n
3.27. Hereby You irrevocably authorize Scale-lead to transfer a\r\n request received by Scale-lead to provide information for the payment\r\n directly to Your financial institution available.\r\n
\r\n 4. PRICE AND SETTLEMENT
4.1. All statistics for the purposes of\r\n billing and general delivery reporting are based on Scale-lead’s reporting\r\n system. No other system shall be considered as an official source of\r\n information for inventory. Rates for advertising campaigns are\r\n calculated on the basis of its pricing model, frequency of impressions,\r\n ads placement, number of acquisitions, GEOs and other campaign terms.\r\n
4.2. Payment for services provided by Scale-lead shall be made by\r\n non-cash transfer of funds to the Scale-lead bank account. The moment of\r\n payment shall be deemed as the date of receipt of funds to the Scale-lead\r\n bank account. The costs of bank commissions and charges for the transfer\r\n of funds shall be made according to the OUR principle, in accordance\r\n with the SWIFT rules and the customs of international payments.
{\" \"}\r\n 4.3. In the event that Advertiser believes that there is a discrepancy\r\n in Scale-lead’s reporting system (stats) for reporting period, Advertiser\r\n must provide Scale-lead with a reasoned report of such discrepancy within 3\r\n calendar days from receipt of Scale-lead’s server reports in relevant\r\n reporting period. Otherwise, Scale-lead shall not be liable for such\r\n discrepancy, services shall be deemed rendered, and will calculate\r\n earnings on the basis of its reporting system. If the Parties are unable\r\n to reach an agreement regarding the discrepancy, then Scale-lead reporting\r\n system shall prevail.\r\n
4.4. Advertiser is responsible for all applicable taxes\r\n associated with provided ad services, other than taxes based on Scale-lead\r\n income. Advertiser shall indemnify Scale-lead against all losses suffered\r\n or incurred by Scale-lead arising out of or in connection with any payment\r\n made to Scale-lead.\r\n
\r\n 5. Scale-lead’S LIMITED WARRANTY AND LIABILITY\r\n
\r\n 5.1. Except for the express warranties set forth above and to the extent\r\n permitted by law Scale-lead expressly disclaims all other warranties of any\r\n kind with respect to the Service, whether express or implied, including\r\n without limitation any warranties for merchantability, fitness for a\r\n particular purpose, that the Services will be uninterrupted, completely\r\n secure and/or free of software errors.\r\n
\r\n 5.2. Scale-lead furthermore expressly disclaims any responsibility in\r\n relation to (i) any claims made in relation to Ads, campaigns or any\r\n Contents or (ii) any claims made in relation to the publication of any\r\n such Ads, campaigns or Contents on any websites such as, including but\r\n not limited to, streaming sites, File Sharing Sites, and sites with\r\n adult content.\r\n
5.3. The extent of the Scale-lead liability hereunder shall be\r\n limited by the amount of service costs for the reporting period for\r\n which breach by Scale-lead of its obligations was declared and involved\r\n infliction of losses to the Advertiser. Only actual damage shall be\r\n subject to reimbursement.\r\n
5.4. IN NO EVENT SHALL Scale-lead BE LIABLE FOR ANY DAMAGES OF ANY\r\n KIND ARISING FROM YOUR USE OF THE SITE, OPERATION OF A PROGRAM, OR YOUR\r\n DISPLAY OF ANY PROGRAM CREATIVE ON YOUR MEDIA, INCLUDING BUT NOT LIMITED\r\n TO BROKEN IMAGES, SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE AND\r\n CONSEQUENTIAL DAMAGES, EVEN IF Scale-lead HAS BEEN ADVISED OF THE\r\n POSSIBILITY OF SUCH DAMAGES. THE INFORMATION, CONTENT AND SERVICES AT\r\n THE PROGRAM OR IN SERVICE ARE PROVIDED ON AN “AS IS” BASIS WITH NO\r\n WARRANTY. YOU USE THE SEVICE, RUN PROGRAM AND GET SERVICES OF\r\n INDEPENDENT CONTRACTORS (PUBLISHERS) AT YOUR OWN RISK. TO THE MAXIMUM\r\n EXTENT PERMITTED BY LAW, Scale-lead DISCLAIMS ALL REPRESENTATIONS AND\r\n WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE\r\n OPERATION OF PROGRAM, THE INFORMATION, SERVICES, AND CONTENT INCLUDED AT\r\n THE PROGRAM OR IN SERVICE AND PROVIDED BY Scale-lead, INCLUDING BUT NOT\r\n LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A\r\n PARTICULAR PURPOSE. Scale-lead DOES NOT REPRESENT OR WARRANT THAT THE\r\n INFORMATION ON ITS WEBSITE OR PROVIDED BY Scale-lead IS ACCURATE, COMPLETE\r\n OR CURRENT.\r\n
\r\n 6. FRAUDULENT ACTIVITY\r\n
\r\n 6.1. You are expressly prohibited from using any means, devices or\r\n arrangements to commit fraud, violate any applicable law, interfere with\r\n other affiliates or falsify information in connection with the Services\r\n or exceed your permitted access to Scale-lead website or Program.\r\n
\r\n You are prohibited from any practice of disguising (cloaking) an Ads\r\n with different content or landing page and you are forbidden from using\r\n any preference/method resulting to the re-direction of the user to your\r\n landing page when such user has at least once previously chosen through\r\n a certain action to leave your page.\r\n
\r\n Scale-lead shall have the right, in any event described under this clause,\r\n to ban Your Advertiser Account, to withhold account balance and to take\r\n all necessary legal actions to restore the damage caused by this\r\n violation. In any case Scale-lead shall make all determinations about\r\n fraudulent activity in its sole discretion.\r\n
\r\n 7. INDEMNIFICATION\r\n
\r\n 7.1. Advertiser agrees to indemnify and hold Scale-lead, its affiliates,\r\n subsidiaries, successors and assigns harmless from any and all claims,\r\n actions, judgments or liabilities arising out of or in connection with\r\n Advertiser´s Campaign, any breach of this Agreement by Advertiser and/or\r\n of any representation, warranty or agreement in this Agreement.\r\n
\r\n 8. REJECTION OF ADVERTISER’S CAMPAIGN CONTENT\r\n
\r\n 8.1. Each Party will make every effort to uphold the highest ethical and\r\n commercial standards. If Scale-lead requests that Advertisements should be\r\n removed from or not placed in any context that harms the goodwill or\r\n reputation of Scale-lead, Advertiser will promptly comply with such\r\n request.\r\n
\r\n 8.2. Scale-lead has, in its sole discretion and without any liability, the\r\n right to deny any Advertiser’s advertising material or Content that\r\n includes or based on any inappropriate or illegal content.\r\n
\r\n If Advertiser provides software for campaign, it shall be free from any\r\n spy- or malicious software and comply with the terms and conditions\r\n under this Agreement. In confirmation of this fact the Advertiser can\r\n provide duly executed SSL-, or Code sign certificate.\r\n
\r\n Advertiser will defend, indemnify and hold Scale-lead or its affiliates and\r\n representatives harmless from any damages, liabilities, costs, and\r\n expenses (incl. attorneys’ fees) resulting from any claim, judgment or\r\n proceeding brought by a third party.\r\n
\r\n In case where advertisements are placed in such locations, Scale-lead\r\n reserves the right to withhold payment for the entire campaign, withhold\r\n account balance and any other remuneration and/or submit an immediate\r\n legal action against Advertiser and/or set a financial penalty, based on\r\n the damages caused to Scale-lead.\r\n
\r\n 8.3. In order to be eligible to become an Advertiser of software or\r\n other application (API), Your software or application (API) must meet\r\n the following criteria:\r\n
• not to generate or facilitate unsolicited bulk commercial\r\n email;\r\n
• not to violate, or encourage the violation of, the legal rights\r\n of others;\r\n
• not to be used in any unlawful, invasive, infringing,\r\n defamatory, or fraudulent purpose;\r\n
• not to distribute viruses, worms, Trojan horses, corrupted\r\n files, hoaxes, or other items of a destructive or deceptive nature (i.e.\r\n malware);\r\n
• it must not to alter, disable, interfere with or circumvent any\r\n aspect of the software of third parties or advertisement services\r\n particularly.\r\n
\r\n Advertiser will make all reasonable efforts to prevent unauthorized use\r\n of its software or application and to terminate any unauthorized use.\r\n Advertiser will promptly notify Scale-lead of any unauthorized use of, or\r\n access to, the software or application of which it becomes aware.\r\n
\r\n Advertising software shall be installed only with the consent of the\r\n user, and shall provide ability of its removal without special\r\n additional programs.\r\n
\r\n 8.4. Advertiser further acknowledges and accepts that Scale-lead may stop a\r\n Campaign in case Advertiser’s website includes inappropriate content as\r\n described above.\r\n
\r\n 8.5. In order to ensure compliance with this section, Advertiser must\r\n notify Scale-lead in writing of any changes to the content on Advertiser’s\r\n website, which could be deemed inappropriate content.\r\n
\r\n 9. LIABILITY OF THE ADVERTISER\r\n
9.1. In case of unilateral refusal from the advertising campaign\r\n by the Advertiser for less than 3 business days prior campaign starts\r\n the Advertiser shall pay a fine in amount of 30% of prepayment.\r\n
9.2. In case of breach of payment time limits by the Advertiser\r\n in comparison to the deadline specified in the invoice, the Advertiser\r\n shall pay a fine in the amount of 1% of the amount not paid for each day\r\n of delay.\r\n
9.3. In case of breach of conditions specified in the clause 3.11\r\n the Advertiser shall pay to Scale-lead a penalty in the amount calculated\r\n by dividing average daily cost of lead amount (defined on the basis of\r\n statistics data for the period from starting performance of the request)\r\n by 24 for each hour of unavailability or failure of integration on the\r\n side of the Advertiser. The Parties agree that on revealing the fact of\r\n breach of conditions specified in the clause 3.11, the period of\r\n integration’s inoperability on the side of the Advertiser shall be\r\n calculated from the moment of the last lead fixation in Scale-lead Network.\r\n
\r\n 10. PERSONAL DATA PROTECTION\r\n
\r\n 10.1. This Agreement and any dispute or claim (including non-contractual\r\n disputes or claims) arising out of or in connection with it or its\r\n subject matter or formation shall be governed by and construed in\r\n accordance with the laws of the country in which the company was\r\n registered. Hereby Scale-lead CY LTD and Oristane Management LTD - shall be\r\n governed by and construed in accordance with the laws of Cyprus, Scale-lead\r\n PTE LTD shall be governed by and construed in accordance with the laws\r\n of Singapore, Scale-lead LP shall be governed by and construed in\r\n accordance with the laws of the Province of Alberta and Federal Laws of\r\n Canada.\r\n
\r\n 10.2. Each Party irrevocably agrees, for the sole benefit of Scale-lead\r\n that, subject as provided below, the courts of the each below country\r\n shall have exclusive jurisdiction over any dispute or claim (including\r\n non-contractual disputes or claims) arising out of or in connection with\r\n this agreement or its subject matter or formation. Nothing in this\r\n clause shall limit the right of Scale-lead to take proceedings against\r\n Advertiser in any other court of competent jurisdiction, nor shall the\r\n taking of proceedings in any one or more jurisdictions preclude the\r\n taking of proceedings in any other jurisdictions, whether concurrently\r\n or not, to the extent permitted by the law of such other jurisdiction.\r\n
\r\n 10.3. Each Party confirms that it has complied, and will continue to\r\n comply with its obligations relating to Personal Data that apply to it\r\n under applicable Data Protection Laws.\r\n
10.4. Where applicable Scale-lead (or its partners) warrants that it\r\n has provided adequate notices to and obtained valid consents from Data\r\n Subjects in each case, to the extent necessary for Scale-lead to Process\r\n their Personal Data in connection with the Agreement, including, without\r\n limitation for direct marketing activities and international transfers\r\n of Personal Data to third countries. Scale-lead is obliged to notify the\r\n Advertiser in writing within 24 (twenty four) hours from receipt of Data\r\n Subject’s objection to or withdrawal of Data Subject’s consent to\r\n process their Personal Data or other information including, without\r\n limitation for direct marketing activities and international transfers\r\n of Personal Data to third countries.\r\n
10.5. Each Party is obliged to place Privacy Policy and ensure\r\n that said Privacy Policy describes processing of personal data by\r\n respective Party and complies with the standards implemented by Data\r\n Protection Laws at all the platforms and web-sites to which the Party is\r\n an administrator or owner and which the Party intends to use for the\r\n rendering of services under the Agreement.
10.6. Each Party will\r\n limit access to Personal Data to those personnel who require such access\r\n only as necessary to fulfill such party’s obligation under the\r\n Agreement.\r\n
10.7. Each party will maintain appropriate administrative,\r\n physical, organizational and technical safeguards aimed at maintaining\r\n an appropriate level of security.\r\n
\r\n 10.8. Each Party will provide the other Party with all necessary\r\n assistance in connection with communications from, or requests made by\r\n Data Subjects in relation to their rights under Data Protection Laws,\r\n and supervisory authorities, in each case as they relate to Data Subject\r\n Personal Data.\r\n
10.9. Each Party to the best extent possible will provide the\r\n other Party assistance in complying with the Data Protection Laws.\r\n
10.10. Scale-lead and the Advertiser each agree and acknowledge that\r\n where a Party processes Personal Data and alone determines the purposes\r\n and means of such Processing, such Party shall be considered as a data\r\n controller (as defined under applicable Data Protection Laws). In cases\r\n where Scale-lead processes any Personal Data on the Advertiser’s behalf\r\n when performing its obligations under this Agreement, it shall be\r\n considered as a Processor.\r\n
10.11. Scale-lead shall only process Personal Data for the following\r\n permitted purposes in relation to advertising campaigns:\r\n
10.11.1. for providing services under this Agreement;
{\" \"}\r\n 10.11.2. for fraud detection purposes including creating fraud reports\r\n to be shared with the other Party;\r\n
10.11.3. for reporting purposes including reports to be shared\r\n with the other Party;\r\n
10.11.4. for determining performance of campaigns distributed\r\n through Scale-lead inventory or network and billing purposes.\r\n
10.12. As a Processor Scale-lead shall:
10.12.1. process the\r\n Personal Data only to the extent necessary for the purposes of the\r\n Agreement and otherwise in accordance with the documented instructions\r\n of the Advertiser (Controller);\r\n
10.12.2. not process the Personal Data in any country outside the\r\n European Economic Area other than in accordance with the terms of this\r\n section. If Scale-lead is required by applicable laws or under the terms of\r\n the Agreement to transfer the Personal Data outside of the European\r\n Economic Area, Scale-lead shall execute appropriate documentation as\r\n required under Data Protection Laws (unless Scale-lead is barred from\r\n making such notification under the relevant applicable law);\r\n
10.12.3. ensure that all persons authorized by it to process the\r\n Personal Data are committed to confidentiality or are under a statutory\r\n obligation of confidentiality under applicable law;\r\n
10.12.4. have at all times during the term of the Agreement\r\n appropriate technical and organizational measures to ensure a level of\r\n security appropriate to the risk to protect any Personal Data, with\r\n particular regard to its accidental or unlawful destruction, loss,\r\n alteration, unauthorized disclosure of, or access. Where applicable\r\n technical and organizational measures may include the following\r\n measures, but not limited to:\r\n
▪ restriction of access to data centers, systems and server rooms\r\n as necessary to ensure protection of Personal Data;\r\n
▪ monitoring of unauthorized access;\r\n
▪ written procedures for employees, contractors and visitors\r\n covering confidentiality and security of information;\r\n
▪ restricting access to systems depending on the\r\n sensitivity/criticality of such systems;\r\n
▪ use of password protection where such functionality is\r\n available;\r\n
▪ maintaining records of the access granted to which individuals;\r\n
▪ ensuring prompt deployment of updates, bug-fixes and security\r\n patches for all systems;\r\n
▪ providing anonymization (encryption, pseudonymization) measures\r\n where applicable and required by Data Protection Laws.\r\n
10.12.5. where Scale-lead does engage another Processor\r\n (Sub-processor), similar obligations to those set out in this Agreement\r\n shall be imposed by Scale-lead on the Sub-processor in a written contract.\r\n For the avoidance of doubt, terms indicated this section shall also\r\n apply to any Sub-processor. Scale-lead shall remain liable to the\r\n Advertiser for the performance of Sub-processor’s obligations;
{\" \"}\r\n 10.12.6. cease processing the Personal Data immediately upon the\r\n termination or expiry of Agreement or, if sooner, on cessation of the\r\n contractual activity to which it relates and, at the Advertiser’s\r\n election, delete or return all Personal Data to the Advertiser, and\r\n delete all existing copies unless applicable law requires their\r\n retention;\r\n
10.12.7. Scale-lead shall not retain Personal Data for longer than\r\n necessary to meet the permitted purposes hereunder or use the same for\r\n any purposes other than such permitted purposes;\r\n
10.12.8. if requested by the Advertiser, Scale-lead shall without\r\n delay, rectify the Personal Data, to ensure it remains accurate,\r\n complete and current or delete the same upon notification by the\r\n Advertiser to honor any Data Subject’s request. The Advertiser agrees to\r\n notify Scale-lead of such requests immediately;\r\n
10.12.9. at the earliest opportunity, without undue delay, and in\r\n any event within 48 hours after having become aware, notify the\r\n Advertiser of any unauthorized or unlawful processing of any Personal\r\n Data and of any loss or destruction or other damage and shall take such\r\n steps consistent with good industry practice to mitigate the detrimental\r\n effects of any such incident on the Data Subjects and cooperate with the\r\n Advertiser in dealing with such incident and its consequences;
{\" \"}\r\n 10.12.10. Scale-lead acknowledges that the Advertiser is under certain\r\n record keeping obligations under the Data Protection Laws, and agrees to\r\n provide the Advertiser with all reasonable assistance and information\r\n required by the Advertiser to satisfy such record keeping obligations.\r\n
10.13. Each Party shall defend, indemnify and hold harmless the\r\n other Party (Indemnified Party) against any and all claims, demands,\r\n actions, awards, judgments, settlements, costs, expenses, liabilities,\r\n damages and losses (including all interest, fines, penalties, management\r\n time and legal and other professional costs and expenses) incurred by\r\n Indemnified Party arising from Indemnifying Party’s (and/or its\r\n representatives) failure to comply with Data Protection Laws. In no\r\n event shall Scale-lead total liability to the Advertiser under this article\r\n exceed EUR 1,000.\r\n
\r\n 11. APPLICABLE LAW AND DISPUTE RESOLUTION
\r\n 11.1. This Agreement and any dispute or claim (including non-contractual\r\n disputes or claims) arising out of or in connection with it or its\r\n subject matter or formation shall be governed by and construed in\r\n accordance with the laws of the Province of Quebec and Federal Laws of\r\n Canada without giving effect to conflict of laws principles.\r\n
\r\n 11.2. Each Party irrevocably agrees, for the sole benefit of Scale-lead\r\n that, subject as provided below, the courts of the Province of Quebec\r\n and the courts of Canada shall have exclusive jurisdiction over any\r\n dispute or claim (including non-contractual disputes or claims) arising\r\n out of or in connection with this agreement or its subject matter or\r\n formation. Nothing in this clause shall limit the right of Scale-lead to\r\n take proceedings against Advertiser in any other court of competent\r\n jurisdiction, nor shall the taking of proceedings in any one or more\r\n jurisdictions preclude the taking of proceedings in any other\r\n jurisdictions, whether concurrently or not, to the extent permitted by\r\n the law of such other jurisdiction.\r\n
\r\n 12. CANCELLATION\r\n
\r\n 12.1. Either Party may cancel the ads campaign and terminate this\r\n Agreement with 48 hours’ written notice to the other Party.\r\n
\r\n 12.2. Scale-lead shall be entitled, with immediate effect, to stop\r\n Advertiser’s Campaign or to prematurely terminate this Agreement in\r\n writing where: (a) Advertiser uses the Service or Program in a manner\r\n that entails the perpetration of a crime; (b) Advertiser uses the\r\n Service or Program in a manner that occasions losses or the risk of loss\r\n for Scale-lead or any third Party; (c) it may be reasonably assumed that\r\n Campaign violates governing law; (d) notwithstanding reminders,\r\n Advertiser fails to pay agreed fees or any other remuneration to Scale-lead\r\n within a stated time; (e) Advertiser otherwise fails to comply with this\r\n Agreement and such breach of contract is material; or (f) Advertiser is\r\n placed into insolvent liquidation or is otherwise insolvent.\r\n
\r\n In this case, Scale-lead shall have the right to block your account\r\n immediately and to withhold the remaining funds at your account as a\r\n fine.\r\n
\r\n 12.3. You acknowledge and agree that in case of Your account been\r\n deleted at any reason it means that user data would be erased too.\r\n
\r\n 13. MISCELLANIOUS
13.1. Scale-lead may assign this Agreement to a\r\n subsidiary or business successor. You may not assign this Agreement\r\n without the prior written consent of Scale-lead, which shall not be\r\n unreasonably withheld.\r\n
13.2. This Agreement is the principal document in legal\r\n relationship of the Parties, and shall be deemed an entire agreement of\r\n the Parties. In case of contradictions in using Service or Program, the\r\n Agreement shall prevail in any case. Any documents placed on Your\r\n websites shall not be binding on Scale-lead.\r\n
13.3. The relationship between the Parties will be that of\r\n independent contractors and nothing in this Agreement is intended to nor\r\n will establish any relationship of partnership, joint venture,\r\n employment, franchise, agency or other form of legal association between\r\n the Parties. Neither Party will have, nor represent to any third party\r\n that it does have, any power or authority to bind the other Party or\r\n incur any obligations on the other Party’s behalf.\r\n
13.4. The failure of a Party hereto at any time or times to\r\n require performance of any provision hereof shall in no manner affect\r\n its right at a later time to enforce the same. No waiver by a party of\r\n any condition or of any breach of any term, covenant or representation\r\n contained in this Agreement shall be effective unless in writing, and no\r\n waiver in any one or more instances shall be deemed to be a further or\r\n continuing waiver of any such condition or breach in other instances or\r\n a waiver of any other condition or breach of any other term, covenant or\r\n representation.\r\n
13.5. The representations and warranties of Advertiser set forth\r\n in this Agreement shall survive closing for a period of one year from\r\n the termination date.\r\n
13.6. No claim for a breach of any representation or warranty by\r\n Scale-lead shall be actionable or payable if the breach in question results\r\n from or is based on a condition, state of facts or other matter, which\r\n was disclosed to Advertiser and/or actually known by Advertiser prior to\r\n termination.\r\n
13.7. All claims related to the use of the Service or Program\r\n shall be submitted by the Advertiser within 30 days from the end of the\r\n reporting period only. In the case of missing the specified term,\r\n Scale-lead reserves the right not to process the complaint, and all the\r\n services shall be deemed rendered properly and subject to payment.\r\n
13.8. Headings to sections and subsections in this Agreement are\r\n for the convenience of the Parties only and are not intended to be a\r\n part of or affect the meaning or interpretation hereof.\r\n
13.9. The Parties agree that any notice, which shall be given in\r\n accordance with the legislation or this Agreement can be transferred by\r\n sending scanned copies of the originals signed and sealed by the Parties\r\n by e-mail using e-mail addresses usually used by the Parties during\r\n their business relations. The Parties recognize and equate such scanned\r\n copies with original documents duly executed and valid, and waive any\r\n claims to the contrary. The Parties recognize these documents as\r\n appropriate evidence that can be used as such in resolving disputes,\r\n which includes any court procedures. The exchange of scanned signed\r\n copies does not exclude the obligation of the Parties to send each other\r\n originals of the relevant documents by post or by courier.\r\n
13.10. The Parties shall inform each other within the shortest\r\n possible time on changes of address, bank details, telephone numbers,\r\n e-mail addresses and authorized representatives. Anything done by a\r\n Party using the last notified to it details of the other Party shall be\r\n considered as done properly, and all the costs and risks shall be borne\r\n by a Party that failed to notify the other Party immediately about\r\n changes in its details.\r\n

PUBLISHER AGREEMENT
\r\n\r\n Publisher Agreement (the “Agreement”)\r\n
\r\n Scale-lead CY LTD (Cyprus), Scale-lead LP (Canada), Scale-lead PTE LTD\r\n (Singapore), or Oristane Management LTD (Cyprus) (the, “Scale-lead”, “We”,\r\n etc.) being an advertising network that provide services for products\r\n monetization and promotion, connecting publishers and advertisers\r\n through such service globally (the, “Service”), and\r\n
\r\n You (the, “Publisher”, “You”, “Yours”, etc.) being the webmaster or the\r\n owner of the website(s) and having sufficient authority to enter into\r\n this Agreement, that seeks a service to attract advertisers including to\r\n such website(s) (the, “Publisher’s web site”, “Your website”, “Site”,\r\n etc.),\r\n
\r\n WHEREAS,\r\n
\r\n Scale-lead has offered its service to the Publisher through www.Scale-lead.com\r\n website (the, “Program”, etc.) and Publisher’s personal account, and you\r\n decided to utilise the Service,\r\n
\r\n NOW,\r\n
\r\n Scale-lead and Publisher hereby agree as follows:\r\n
\r\n BY CHECKING THE BOX AND CLICKING \"I ACCEPT\" BUTTON, AS APPLICABLE, OR BY\r\n CONTINUING TO PARTICIPATE IN THE SERVICE FOLLOWING OUR PUBLICATION OF\r\n THE REVISED VERSION OF THIS AGREEMENT ON OUR WEBSITE, YOU (A) CONFIRM\r\n THAT YOU ARE AWARE AND COMPLY WITH THIS AGREEMENT AND AGREE TO BE BOUND\r\n BY THIS PUBLISHER AGREEMENT; (B) ACKNOWLEDGE AND AGREE THAT YOU HAVE\r\n INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM\r\n AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER\r\n THAN AS EXPRESSLY SET FORTH IN THIS AGREEMENT; (C) HEREBY REPRESENT AND\r\n WARRANT THAT YOU ARE AUTHORIZED AND LAWFULLY ABLE TO ENTER INTO THIS\r\n AGREEMENT AND THAT YOU ARE AND WILL REMAIN IN COMPLIANCE WITH THIS\r\n AGREEMENT; AND (D) AGREE TO RECEIVE DIRECTLY TO YOUR E-MAIL NEWSLETTERS,\r\n TRAFFIC MONETIZATION INSIGHTS, LATEST PROMOTIONS, CASE-STUDIES AND\r\n TUTORIALS FROM US.\r\n
\r\n Out of concern for the environment, this Agreement is concluded\r\n exclusively in electronic form and no paper copy will be produced. This\r\n Agreement concluded in electronic form shall be deemed equivalent to a\r\n paper document bearing a handwritten signature and a seal. At the\r\n request of the Party, this Agreement or any additional documents to it,\r\n accounting and other documents signed by electronic document exchange\r\n shall be replaced by a paper document signed by handwritten signature\r\n and sealed within 20 business days from the date from the receipt of the\r\n Party's written request. In this case, the costs for sending the\r\n requested documents shall be borne by the Party, which sent the relevant\r\n request.\r\n
\r\n 1. DEFINITIONS\r\n
\r\n 1.1. “Ad(s), Advertisement(s)” – means graphical, interactive, rich\r\n media and video, or other online advertisements, including, without\r\n limitation, banners, buttons, towers, skyscrapers, pop-ups, pop-unders\r\n and video advertisements or similar generated by you or advertiser’s\r\n web-servers in response to a query from Scale-lead.\r\n
\r\n 1.2. “Publisher” – means a party that has decided to enter into this\r\n Agreement and to assign Scale-lead to provide online services in accordance\r\n with the terms and conditions of this Agreement.\r\n
\r\n 1.3. “Publisher Account” / “Account” – means the Publisher’s account at\r\n Scale-lead website www.Scale-lead.com.\r\n
\r\n 1.4. “Content” – means textual, visual, or aural content that is\r\n encountered as part of the Publisher’s websites. It may include\r\n documents, data, applications, e-services, images, audio and video\r\n files, personal web pages, archived e-mail messages, and etc.\r\n
\r\n 1.5. “Effective Date” – means the date of adoption by Publisher terms of\r\n this Agreement or in the absence of its signature, the date when the\r\n Publisher set up a Publisher Account with Scale-lead.\r\n
\r\n 1.6. “Scale-lead Network” – means Scale-lead’s digital advertising network\r\n available at www.Scale-lead.com, including advertisers and publishers.\r\n
\r\n 1.7. “Scale-lead Network Property” – means any website, application,\r\n content, property or any other media owned, operated, or provided by a\r\n company within the Scale-lead Network upon which Ads are placed.\r\n
\r\n 1.8. “Confidential Information” – will include any information, whether\r\n provided in writing, orally, visually, electronically or by other means,\r\n related to the Services and/or business of a party and is treated as\r\n confidential or secret by the party, including but not limited to (i)\r\n all information marked as “Confidential,” “Proprietary,” or similar\r\n legend by the disclosing party (“Discloser”) when given to the receiving\r\n party (“Recipient”); and (ii) information and data provided by the\r\n Discloser, which under the circumstances surrounding the disclosure\r\n should be reasonably deemed confidential or proprietary.\r\n
\r\n 2. THE SERVICE\r\n
\r\n 2.1. In order to become a Publisher, you must first accurately submit an\r\n application for Scale-lead account at our website and be in compliance with\r\n this Agreement or register as a Publisher by contacting Scale-lead directly\r\n for acceptance, and not use any aliases or other means to mask your true\r\n identity or contact information. After we review your application, we\r\n will notify of your acceptance or rejection as Scale-lead Publisher. We may\r\n accept or reject your account registration at any time at our sole\r\n discretion for any reason. Scale-lead reserves the right to add, edit,\r\n remove or reclaim any account details (including your submissions) with\r\n or without your consent if deemed appropriate at Scale-lead sole\r\n discretion.\r\n
\r\n 2.2. By filing your account application or registering as a Publisher\r\n you confirm your understanding and unreserved acceptance of this\r\n Agreement and other terms and conditions of Scale-lead, including, but not\r\n limited to the Privacy Policy, published at our website concerning the\r\n Services, and confirm you are a duly authorized signatory, has full\r\n legal capacity and all the necessary authority to bind the individual,\r\n company or other entity, and hereby submitting a legally binding\r\n electronic signature and entering into a legally binding contract.\r\n
\r\n 2.3. In order to be eligible to become Scale-lead Publisher, all websites\r\n must meet the following criteria:\r\n
• Be content-based, not simply a list of links or advertisements,\r\n nor can the site be centered around making money off of our advertisers;\r\n
• Be fully functional at all levels; no “under construction”\r\n sites or sections; and\r\n
• Shall comply with the applicable legislation.\r\n
\r\n 2.4. The content of the Publisher’s website(s) or its affiliated\r\n website(s) or websites where it places Ads can not include any material\r\n that infringes the rights of any third party or is in violation of any\r\n law, as bound by the law or determined by us in our sole discretion,\r\n including but not limited to the following:\r\n
• Intellectual property rights;\r\n
• Racial, ethnic, political, hate-mongering or otherwise\r\n objectionable content;\r\n
• Investment, money-making opportunities or advice not permitted\r\n under law;\r\n
• Gratuitous violence or profanity;\r\n
• Material that defames, abuses, or threatens physical harm to\r\n others;\r\n
• Promotion of illegal substances or activities (e.g. illegal\r\n online gambling, “how to build a bomb”, counterfeiting money, etc.);\r\n
• Software Pirating (e.g., Warez, P2P, Bit torrent, Hotline,\r\n etc.);\r\n
• Hacking or Phreaking;\r\n
• Fraud, unofficial, untrue, false, misleading, invented,\r\n re-produced information, facts, news, offers, solutions, guidelines\r\n related to or aiming to treat in any way and at any level\r\n vulnerabilities of all kind, including but not limited to any physical,\r\n mental, psychological, social, religious, economic, scientific\r\n vulnerabilities;\r\n
• Any illegal activity whatsoever;\r\n
• Any spoofing, redirecting, or trafficking from adult-related\r\n websites in an effort to gain traffic; or\r\n
• Any other inappropriate activity as determined by us in our\r\n sole discretion.\r\n
\r\n 2.5. Scale-lead has the following Non Acceptable Business rules for\r\n Publishers:\r\n
• Where there are known or perceived links to terrorist\r\n organisations, military, arms and/or ammunition manufacture or sales;\r\n
• Where there is knowledge or suspicion of money laundering or\r\n terrorist financing;\r\n
• Where it is known or there are reasonable grounds for suspicion\r\n that a criminal offence has taken place;\r\n
• Where the client or any of the clients associated parties are\r\n subject to any sanctions measures;\r\n
• Where the client is undertaking an activity or trade within,\r\n from or into a country where that activity is subject to embargo and/or\r\n trade control restrictions;\r\n
\r\n • Producers/publishers of racist/pornographic/pressure group material or\r\n extreme political propaganda;\r\n
• Regulated entities that do not have the appropriate licensing;\r\n
• Extreme political and/or charitable organisations.\r\n
\r\n 2.6. Publisher understands and accepts that Scale-lead does not allow and\r\n prohibits the multiple account opening for each Publisher. Publisher\r\n agrees not to fill in an account application and/or register as a\r\n Publisher more than one time and/or hold more than one account with\r\n Scale-lead for any reason and/or in order to benefit in any way from any\r\n marketing promotional program/project and/or offer available for the\r\n Publisher by Scale-lead.\r\n
\r\n 2.7. Scale-lead may allow multi account\r\n applications/registrations/openings/holdings for a Publisher if this is\r\n specifically and clearly predefined as accepted/permitted in any\r\n specific marketing promotional program/project and/or offer and/or in\r\n exceptional cases, at any time and for any reason Scale-lead considers\r\n acceptable and solely at its own discretion, if the Publisher submits\r\n such request by sending an email to contact@Scale-lead.com.\r\n
\r\n 2.8. You may not transfer your account to anyone without explicit\r\n written permission of Scale-lead and you may not use anyone else’s account\r\n or password at any time without the express permission and consent of\r\n the holder of that account. Scale-lead cannot and will not be liable for\r\n any loss or damage arising from your failure to comply with these\r\n obligations.\r\n
\r\n 2.9. Minimum Eligibility Requirements.\r\n
\r\n In order to be eligible to become a Publisher, all websites, affiliated\r\n websites and e-mail distribution lists (collectively the \"Media\") must\r\n meet the following criteria, at a minimum: All Publishers that wish to\r\n send advertisements via email must have the consent of the consumer to\r\n send such email and each Publisher shall maintain records evidencing\r\n such consent including, without limitation:\r\n
● I: Member opt-in date\r\n
● II: Registration source\r\n
● III: First name\r\n
● IV: Last name\r\n
● V: Address\r\n
● VI: Email address\r\n
● VII: Any other information collected and will supply such\r\n records to Scale-lead within one business day of request thereof\r\n
\r\n Unless otherwise approved in writing by Scale-lead, Publishers may not\r\n offer incentives to users as means to enhance the performance of any\r\n Program (as defined below); incentives include but are not limited to\r\n awarding them cash, points, prizes, contest entries, etc.; Publisher's\r\n policies must be compliant with state and federal laws and regulations\r\n including but not limited to the CAN-SPAM Act of 2003 Spawning process\r\n pop-ups are prohibited; and Such other criteria as Scale-lead may from time\r\n to time determine, in its sole discretion.\r\n
\r\n 2.10. Special Rules Governing Email Campaigns.\r\n
\r\n 2.10.1. In the event that Scale-lead or Publisher receives a complaint from\r\n any recipient of a Program transmitted by Publisher, upon our request\r\n Publisher will immediately provide Scale-lead with appropriate records\r\n verifying that recipient's consent to receive email transmissions from\r\n Publisher. Such records include, but may not necessarily be limited to,\r\n the Internet address of Publisher's opt-in/opt-out website, the date of\r\n the recipient's action, and Publisher's privacy policy.\r\n
\r\n 2.10.2. Publisher may not use an advertiser's name (including any\r\n abbreviation thereof) in the originating email address line or subject\r\n line of any email transmission.\r\n
\r\n 2.10.3. No Misleading Headers or Other Masking of Email Origin. An email\r\n may not include falsification of header information, false registrations\r\n for email accounts or IP addresses used in connection with email ads,\r\n and retransmissions of an email ad for the purpose of concealing its\r\n origin. Publisher and/or their email delivery providers are prohibited\r\n from relaying or retransmitting emails from a computer or computer\r\n network that was accessed without authorization.\r\n
\r\n 2.10.4. Subject lines may not be false or misleading such that it would\r\n likely mislead a reasonable recipient as to the contents or subject\r\n matter of the message. Publisher may only use approved Specified\r\n Advertising Materials, including subject lines available provided by\r\n Scale-lead or subject lines for which Publisher has documented approval\r\n from Scale-lead.\r\n
\r\n 2.10.5. Specified Advertising Materials consisting of email messages\r\n must contain clear identification. Messages containing advertisements or\r\n solicitations must identify themselves as such, and do so by \"clear and\r\n conspicuous\" means, for example, by stating in the message body \"This\r\n advertisement is brought to you by (Your Company)\". Further, the sender\r\n must identify itself as the initiator and sender of the email including\r\n company name, email and physical address.\r\n
\r\n 2.10.6. Effective Method of Opting Out of Future Mailings. Senders of\r\n commercial emails must give recipients an effective means of requesting\r\n not to receive future email ads from that sender. At a minimum, the\r\n publisher must give the recipient the ability to send a reply message to\r\n unsubscribe, opt out via postal letter and provide a functioning\r\n unsubscribe link that must remain in operation for 30 days from the date\r\n of the original email transmission.\r\n
\r\n 2.10.7. All unsubscribe requests must be implemented within 10 business\r\n days from their receipt. You may not sell or transfer an email address\r\n once someone has opted out of receiving future communications, whether\r\n from only the advertiser or globally.\r\n
\r\n 2.10.8. No Random or Invalid Generation of Email Addresses. Publisher is\r\n responsible for knowing the source of its email list. Email addresses\r\n may not be obtained by the use of a program for random generation of\r\n email addresses, and/or \"scraping\" websites or online services.\r\n Publisher must have full opt-in data for all recipients in its database.\r\n
\r\n 2.11. Non-Solicitation.\r\n
\r\n Publisher agrees that Publisher will not approach or attempt to engage\r\n in a contract with any of Scale-lead's clients (each such client,\r\n individually a \"Client\" and all such clients, collectively \"Clients\")\r\n directly or indirectly via a Client's ad agency, broker or any other\r\n person or entity. Scale-lead will promptly reply in writing to any\r\n inquiries received from Publisher regarding the status of any person or\r\n entity as a Scale-lead Client so as to aid Publisher in its efforts to\r\n comply with the non-solicitation provisions of this Agreement. Because\r\n Scale-lead will be irreparably harmed by Publisher's conduct, and because\r\n the true extent of such harm will be impossible to quantify, monetary\r\n damages will not be an adequate remedy for any such conduct. Publisher\r\n agrees that Scale-lead shall be entitled to injunctive relief precluding\r\n Publisher from taking or continuing any action or conduct in violation\r\n of this provision, to be issued by any court of competent jurisdiction\r\n upon a showing of any such violative conduct by Publisher.\r\n
\r\n 2.12. Links.\r\n
\r\n Publisher agrees to use the Links in the exact form that we deliver them\r\n to Publisher. Publisher agrees not to modify, alter, delete, or adapt\r\n the Links in any manner without Scale-lead's written approval. Links must\r\n be served from the Scale-lead server, unless otherwise permitted in writing\r\n by Scale-lead. Publisher shall not take any actions to impede the action of\r\n or to disable any such links. Publisher agrees to, if request by\r\n Scale-lead, modify or alter Links or Tracking devices in the manner\r\n requested by Scale-lead. Publisher further agrees that it shall in no event\r\n modify or interfere with Tracking devices unless specifically instructed\r\n to do so by Scale-lead in accordance with the previous sentence.\r\n
\r\n 3. PLACEMENT OF ADS\r\n
\r\n 3.1. Publisher will not place advertisement on pornographic/offensive,\r\n and/or warez, and/or illegal MP3 sites/directories, and/or\r\n P2P/Bit-Torrent sites, and/or Spyware or malicious code of any sort\r\n and/or alternatively questionable areas. In the case whereby\r\n advertisements are placed in such sites/directories, Scale-lead reserves\r\n the right to withhold payment for the entire campaign and/or submit an\r\n immediate legal action against the Publisher and/or set a monetary fine\r\n in the amount based on the damages caused to Scale-lead.\r\n
\r\n 3.2. Scale-lead do not check or control the activities or contents at\r\n websites where you place Ads, but all the services may be rejected and\r\n we reserve the right to delete your account, withhold and freeze all\r\n fees and remunerations if you engage in fraudulent or illegal activity.\r\n
\r\n 4. PUBLISHER EARNINGS\r\n
\r\n 4.1. Cost of using Service depends on the amount and scope of\r\n advertising campaigns carried out by the Publisher during the reporting\r\n period based on ads placements generated by Scale-lead reporting system\r\n (stats), available in your personal account. All reported statistics for\r\n the purposes of billing and general delivery reporting are based on\r\n Scale-lead reporting system only.\r\n
\r\n 4.2. In the event that Publisher believes that there is a discrepancy in\r\n Scale-lead’s reporting system, Publisher must provide Scale-lead with a\r\n reasoned report of such discrepancy within three (3) calendar days from\r\n receipt of Scale-lead’s reports. Otherwise, Scale-lead shall not be liable for\r\n such discrepancy, and will calculate earnings on basis of its reporting\r\n system. If the Parties are unable to reach an agreement regarding the\r\n discrepancy, then Scale-lead stats and reports shall prevail.\r\n
\r\n 4.3. Scale-lead is entitled to make adjustments in Publisher’s account in\r\n one of the following cases:\r\n
• To pay promotions and bonuses\r\n
• Due to technical reasons\r\n
• Due to Publisher’s fraudulent activity\r\n
• On the basis of additional agreements with You\r\n
• Due to Advertiser’s complaints or refunds\r\n
\r\n 5. PAYMENTS\r\n
\r\n 5.1. Publisher will be paid per the terms of each Campaign. Scale-lead\r\n shall pay any amounts due approximately 15 days after the cashout\r\n request done at the platform, less any taxes required to be withheld\r\n under applicable law, provided that Scale-lead may, in its discretion,\r\n withhold payments until such time as the Advertiser has paid Scale-lead for\r\n any Campaign. In addition to any other remedies that may be available to\r\n Scale-lead, in the event of any breaches by Publisher of these Terms and\r\n Conditions, Publisher shall forfeit its rights to any amounts owed by\r\n Scale-lead to Publisher. Scale-lead reserves the right to withhold or reduce\r\n any payments owed to Publisher as a consequence of any offsets taken by\r\n Advertisers for fraudulent traffic, invalid Events, technical errors,\r\n tracking discrepancies and the like. Scale-lead shall compile, calculate\r\n and electronically deliver data required to determine Publisher's\r\n billing and compensation. Any questions regarding the data provided by\r\n Scale-lead need to be submitted in writing within 10 business days of\r\n receipt, otherwise the information will be deemed accurate and accepted\r\n as such by Publisher.\r\n
\r\n 5.2. Scale-lead will not pay for any Events that occur before a Campaign is\r\n initiated, or after a Campaign terminates. Invoices submitted to Scale-lead\r\n and payments made to Publisher shall be based on the events as reported\r\n by Scale-lead. Scale-lead will not be responsible to compensate Publisher for\r\n events that are not recorded due to Publisher's error.\r\n
\r\n 5.3. Scale-lead provides the ability to perform payments by using payment\r\n service providers. Publisher shall have the right to select any payment\r\n service provider available. You agree that Scale-lead is not responsible\r\n for any actions made by the payment service provider including but not\r\n limited to any additional transaction fees, banking commissions or\r\n currency fees applied to your transaction. All payments shall include\r\n the above-mentioned fees and commission, if applicable.\r\n
\r\n 5.4. Publisher is responsible for all applicable taxes associated with\r\n provided Services, other than taxes based on Scale-lead income. Publisher\r\n shall indemnify Scale-lead against all losses suffered or incurred by the\r\n Scale-lead arising out of or in connection with any payment made to the\r\n Publisher.\r\n
\r\n 5.5. Publisher responsible to supply valid payment details in personal\r\n account of our Service, if details are wrong or if the Publisher change\r\n its payment details, it is the Publisher’s responsibility to notify by\r\n mail 14 days before payment due date. Publisher will bear payments fees\r\n if required. In any event, all payments will be made at the payment\r\n details specified in your personal account in our Service.\r\n
\r\n 5.6. All payments are processed automatically. We may, in our sole\r\n discretion, refuse to process a payment (and may place a payment hold)\r\n on any part of your account for any reason, block your account and\r\n terminate this Agreement, including if we have a reasonable suspicion\r\n that you have breached any clause of this Agreement. We also reserve the\r\n right to set-off any amount you owe us, including for breaches of this\r\n Agreement. We assume no responsibility for paying any taxes on payments\r\n made to you, and you acknowledge and agree that it is your complete and\r\n sole responsibility to pay for all taxes as a consequence of your\r\n participation in the Program.\r\n
\r\n 5.7. Hereby you represent and warrant to provide Scale-lead with all the\r\n documentation or its equivalents, needed for identification of the\r\n parties, ascertainment of the legal fact and fulfillment of its\r\n obligations under this Agreement, within 15 business days from the date\r\n of request. In certain cases, we may withhold all payments until we will\r\n receive relevant documentation from you.\r\n
\r\n 5.8. You on your own shall ensure the ability to receive payments from\r\n Scale-lead to specified bank account or at relevant payment provider. If\r\n the receipt of remuneration or other payment is delayed or failed\r\n because of your non-compliance with this clause 6 (including if the\r\n failure or delay is caused by a third party payment service provider you\r\n are using), Scale-lead shall not be responsible for violation of terms of\r\n payment.\r\n
\r\n 5.9. If you believe that any fault in transaction has taken place, you\r\n agree to notify us immediately, and We will make all possible efforts to\r\n eliminate delays or errors in payment processing. Unless your claim been\r\n submitted within 30 days after the charge, you will have waived, to the\r\n fullest extent permitted by law, all claims against Scale-lead related to\r\n the transaction. If you experience a technical failure or interruption\r\n of services that causes your funding transaction to fail, you may\r\n request that your transaction be completed at a later time.\r\n
\r\n 5.10. By entering into this Agreement, you agree to receive Publisher’s\r\n revenue as from Scale-lead, or from its affiliates, subsidiaries, agents,\r\n sub-contractors or distributors.\r\n
\r\n 6. REPRESENTATIONS, WARRANTIES AND COVENANTS\r\n
• You represent, warrant and covenant that: all advertising\r\n materials created by you, all the websites where you place advertising\r\n materials is in compliance with all applicable laws and terms and\r\n conditions of this Agreement, and does not contain or promote, nor links\r\n to another website that contains, libelous, defamatory, abusive,\r\n violent, prejudicial, obscene, infringing, sexually explicit or illegal\r\n content, including copyright ownership infringements and unlawful use of\r\n intellectual property;\r\n
• You agree not to promote via advertising materials, website or\r\n link to websites containing any pornographic, racial, ethnic, political,\r\n software pirating (e.g. Warez) or hacking, hate-mongering, or otherwise\r\n objectionable content;\r\n
• You agree not to engage in any illegal activity, in accordance\r\n with applicable law, whatsoever, is not allowed;\r\n
• You represent and warrant that you own or have legal rights to\r\n use and distribute all content, copyrighted material of the advertising\r\n materials created by you; you agree not to use deceit when marketing\r\n advertiser’s offers or presenting these offers to consumers; you have\r\n the right, power, and authority to enter into this Agreement and grant\r\n the rights specified herein;\r\n
• You will not attempt in any way to alter, modify, eliminate,\r\n conceal, or otherwise render inoperable or ineffective the website tags,\r\n source codes, links, pixels, modules or other data provided by or\r\n obtained from Scale-lead that allows Scale-lead to measure ad performance and\r\n provide its service (“Site Data”);\r\n
• If instructed to do so by Scale-lead and/or if this Agreement\r\n terminates, you will immediately remove and discontinue the use of any\r\n Site Data;\r\n
• You acknowledge that Scale-lead does not represent, warrant, or\r\n make any specific or implied promises as to the successful use of\r\n Service;\r\n
• You agree to display the creative exactly as it appears on the\r\n Program and will not alter any creative that has been submitted to the\r\n Site;\r\n

• Hereby You irrevocably authorize Scale-lead to transfer a request\r\n received by Scale-lead to provide information for the payment directly to\r\n your financial institution available;\r\n
• You represent, warrant and covenant that your advertising\r\n materials and websites where you place advertising materials does not\r\n contain any sexual or erotic material that depicts persons under the age\r\n of eighteen (18) or in a manner that suggests that they are under the\r\n age of eighteen (18);\r\n
• If any errors or undesirable results occur due to no fault of\r\n Scale-lead, Scale-lead shall not be responsible for losses and you may not be\r\n compensated;\r\n
• Publisher undertakes to ensure that its servers or servers of\r\n websites where advertising materials are placed support the traffic\r\n directed to ad campaign through our Service. Scale-lead takes no\r\n responsibility for all the consequences in the event the servers cannot\r\n support the traffic directed to a website. You shall test the website to\r\n insure its correct appearance in different web browsers, devices or\r\n systems and optimize it if necessary.\r\n
• You acknowledge that every case of violation of the terms of\r\n this Agreement will lead to material and business standing losses of\r\n Scale-lead in the amount of at least US $ 1,000. Therefore, we reserve the\r\n right to recover damages caused in the specified amount, or the amount\r\n of actually incurred losses, in the event of your breach of contract.\r\n Such losses may be deducted from the balance of your personal account in\r\n the Service.\r\n
\r\n 7. FRAUDULENT ACTIVITY\r\n
\r\n 7.1. YOU MAY NOT CHEAT, DEFRAUD OR MISLEAD US OR ADVERTISER(S), OR\r\n ATTEMPT TO CHEAT, DEFRAUD OR MISLEAD US OR ADVERTISER(S), IN ANY MANNER.\r\n
\r\n You are expressly prohibited from using any means, devices or\r\n arrangements to commit fraud, violate any applicable law, interfere with\r\n other affiliates or falsify information in connection with the Services\r\n or generating of remuneration or exceed your permitted access to Scale-lead\r\n Service. You are forbidden from using any preference/method resulting to\r\n the re-direction of the user to your landing page when such user has at\r\n least once previously chosen through a certain action to leave your\r\n page. These prohibited activities include but not limited to: framing an\r\n ad-banner’s click-through destination, invisible iframe, auto-spawning\r\n of browsers, running “spiders”/”bots”, and automatic redirecting of\r\n users or any other technique of generating automatic or fraudulent\r\n click-through and/or impressions. Ads may not be placed on an\r\n automatically reloaded page. In any case Scale-lead shall make all\r\n determinations about fraudulent activity in its sole discretion.\r\n
\r\n 7.2. If Publisher is suspected in any fraudulent activity Scale-lead shall\r\n have the right to ban Your Publisher Account, to withhold account\r\n balance and to take all necessary legal actions to restore the damage\r\n caused by this violation. All advertising campaigns carried out on\r\n Publishers websites with fraudulent activities are not subject for\r\n payment.\r\n
\r\n 8. LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTY\r\n
\r\n IN NO EVENT SHALL Scale-lead BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING\r\n FROM YOUR USE OF THE SERVICE, OPERATION OF A PROGRAM, OR ADVERTISING\r\n MATERIALS CREATED OR PLACED BY YOU, OR YOUR DISPLAY OF ANY PROGRAM\r\n CREATIVE ON ANY WEBSITE, INCLUDING BUT NOT LIMITED TO BROKEN IMAGES,\r\n SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES, EVEN\r\n IF Scale-lead HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE INFORMATION, CONTENT AND OTHER Scale-lead SERVICES\r\n ARE PROVIDED ON AN “AS IS” BASIS WITH NO WARRANTY. YOU USE THE SERVICE,\r\n RUN PROGRAMS AND ACCEPT SERVICES TASKS OF ADVERTISER(S) AT YOUR OWN\r\n RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Scale-lead DISCLAIMS ALL\r\n REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH\r\n RESPECT TO THE OPERATION OF THE SERVICE, THE INFORMATION, AND CONTENT\r\n INCLUDED ON THE SERVICE AND PROVIDED BY Scale-lead, INCLUDING BUT NOT\r\n LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A\r\n PARTICULAR PURPOSE. Scale-lead DOES NOT REPRESENT OR WARRANT THAT THE\r\n INFORMATION ON THIS SERVICE OR WEBSITE OR PROVIDED BY Scale-lead IS\r\n ACCURATE, COMPLETE OR CURRENT.\r\n
\r\n 9. INDEMNITY\r\n
\r\n You shall indemnify, defend and hold Scale-lead harmless from and against\r\n any and all claims, allegations, liabilities, costs and expenses\r\n (including reasonable attorneys´ fees) which may be incurred by or to\r\n the third parties arising out of your: (a) improper use of the Service;\r\n (b) improper operation of a Program; or (c) breach or violation of any\r\n clause of this Agreement or other mutual agreement of its parties.\r\n
\r\n 10. GOVERNING LAW AND JURISDICTION\r\n
\r\n 10.1. This Agreement and any dispute or claim (including non-contractual\r\n disputes or claims) arising out of or in connection with it or its\r\n subject matter or formation shall be governed by and construed in\r\n accordance with the laws of the Province of Alberta and Federal Laws of\r\n Canada without giving effect to conflict of laws principles.\r\n

Each Party irrevocably agrees, for the sole benefit of Scale-lead\r\n that, subject as provided below, the courts of the Province of Alberta\r\n and the courts of Canada shall have exclusive jurisdiction over any\r\n dispute or claim (including non-contractual disputes or claims) arising\r\n out of or in connection with this agreement or its subject matter or\r\n formation. Nothing in this clause shall limit the right of Scale-lead to\r\n take proceedings against Advertiser in any other court of competent\r\n jurisdiction, nor shall the taking of proceedings in any one or more\r\n jurisdictions preclude the taking of proceedings in any other\r\n jurisdictions, whether concurrently or not, to the extent permitted by\r\n the law of such other jurisdiction.\r\n
\r\n 11. INTELLECTUAL PROPERTY RIGHTS\r\n
\r\n 11.1. Hereby we grant you a non-exclusive, non-transferable, revocable\r\n right to use Scale-lead Service and to access our website through our\r\n Service only in accordance with the terms and conditions of this\r\n Agreement.\r\n
\r\n 11.2. You may not alter, modify, manipulate or create derivative works\r\n of Scale-lead or any our graphics, creative, copy or other materials owned\r\n by, or licensed to Scale-lead in any way. \r\n 11.3. Your use of the Service shall be governed by and subject to the\r\n laws and regulations regarding copyright ownership and terms of use of\r\n intellectual property. You represent, warrant and covenant that you do\r\n not upload, download, display, perform, transmit, or otherwise\r\n distribute any object in violation of any third party’s copyrights,\r\n trademarks, or other intellectual property rights. You represent,\r\n warrant and covenant that you abide by the laws regarding copyright\r\n ownership and use of intellectual property and you shall be solely\r\n responsible for any violations of any relevant laws and for any\r\n infringements of third party rights caused by you.\r\n
\r\n 11.4. ALL THE PARTIES HEREBY AGREE THAT Scale-lead DOES NOT HAVE ANY\r\n AUTHORITY OR ABILITY TO CONTROL CONTENT MADE BY THE PUBLISHER OR AT\r\n WEBSITE(S) WHERE PUBLISHER PLACES ADS AND FOR THIS REASON, WE CANNOT\r\n BEAR ANY RESPONSIBILITY REGARDING BREACHING OF ANY THIRD PARTY’S\r\n INTELLECTUAL PROPERTY RIGHTS OR OTHER RIGHTS.\r\n
\r\n 12. TERMINATION\r\n
\r\n 12.1. This Agreement shall commence upon your acceptance and remain in\r\n effect until terminated. This Agreement may be terminated by either\r\n Party upon one business days´ notice. This Agreement shall terminate\r\n immediately upon the dissolution or insolvency of either Party, or the\r\n breach of this Agreement by you. \r\n 13.1. Scale-lead may assign this Agreement to a subsidiary or business\r\n successor. You may not assign this Agreement without the prior written\r\n consent.\r\n
\r\n 13.2. This Agreement contains the sole and entire agreement and\r\n understanding between the Parties relating to the subject matter herein,\r\n and merges all prior discussions, whether through officers, directors,\r\n salespersons, employees or consultants.\r\n
\r\n 13.3. This Agreement is the principal document in legal relationship of\r\n the Parties, and shall be deemed an entire agreement of the Parties. In\r\n case of contradictions in using Service or Program, this Agreement shall\r\n prevail in any case. Any documents placed on Your websites shall not be\r\n binding on Scale-lead.\r\n
\r\n 13.4. If any provision of this Agreement is held to be invalid, illegal\r\n or unenforceable for any reason, such invalidity, illegality or\r\n unenforceability shall not affect any other provisions of this\r\n Agreement, and this Agreement shall be construed as if such invalid,\r\n illegal or unenforceable provision had not been contained herein.\r\n

Publisher acknowledges and agrees that entering into this\r\n Agreement it has not relied and is not relying on any representations,\r\n warranties or other statements whatsoever, whether written or oral other\r\n than those expressly set out in this Agreement, Privacy Policy or other\r\n terms and conditions published at www.Scale-lead.com and that it will not\r\n have any right or remedy rising out of any representation, warranty or\r\n other statement not expressly set out in this Agreement.\r\n
